Preamble
Maintenance GENIUS, hereinafter referred to as “the Seller” or “the Entity”, is operated
by 1001Web™ and runs the website https://maintenancegenius.ca/,
hereinafter referred to as the “Site”. The Site is intended to be an information and services platform
for web professionals (agencies, developers, site owners).
By accessing or using this Site, you agree to be bound by these terms and conditions. Please read them carefully
before any use.
Article 1 — Definitions
In these terms:
- “Client” or “User” means any natural or legal person using the Site;
- “Order” means any request to purchase products or services made on the Site;
- “Products” means all goods offered for sale on the Site, including software licences;
- “Services” means all services offered on the Site;
- “Parties” means collectively the Seller and the Client.
Article 2 — Purpose and acceptance
2.1 Purpose
These terms and conditions govern the contractual relationship between the Seller and the Client, as well as the
conditions of use of the Site.
2.2 Acceptance
Any use of the Site implies unreserved acceptance of these terms. The Client acknowledges having read these terms
before any use of the Site.
By using the Site, you declare that you:
- are at least 18 years old, or have obtained the consent of a parent or legal guardian;
- have the legal capacity to enter into a contract;
- are acting for personal or professional purposes consistent with the intended use of the Site.
Article 3 — Modification of terms
The Seller reserves the right to modify these terms at any time. Modifications take effect upon publication on
the Site. You are advised to consult this page regularly.
Article 4 — Intellectual property
4.1 Seller’s rights
All elements of the Site (texts, images, logos, graphics, icons, software, databases) are the exclusive property
of the Seller or its partners and are protected by intellectual property laws.
4.2 Restrictions
Any unauthorised reproduction, representation, modification, publication, distribution or exploitation is
strictly prohibited and constitutes infringement punishable by law.
4.3 Licence to use the Site
The Seller grants the Client a limited, non-exclusive and non-transferable licence to access and use the Site.
Article 5 — Software product licence
5.1 — The purchase of a Maintenance GENIUS PRO licence grants the Client a right to use the
software under the following terms: a licence tied to the number of domains provided for in the plan subscribed to,
valid for the duration of the active subscription, including updates and support during that period.
5.2 — The licence is an annual subscription. There is no “lifetime” licence. The
renewal, cancellation and refund terms are described in our
refund policy.
5.3 — A free version of the plugin is available on the WordPress.org repository, governed by the
applicable GPL licence. PRO features are unlocked by a valid licence key.
5.4 — The other products of the Suite GENIUS™ (Rapports GENIUS™, WHMCS GENIUS™) are in
development and are not yet offered for sale. The pages presenting them on the Site do so as a preview, without any
commitment as to availability or price.
Article 6 — Use of the Site
The User agrees to:
- use the Site lawfully and in accordance with its intended purpose;
- not infringe the rights of third parties;
- not transmit viruses or malicious code;
- not attempt unauthorised access to computer systems;
- not collect information about other users;
- respect intellectual property rights.
Article 7 — Personal data
The processing of personal data is governed by our
privacy policy, available on the Site. By using the
Site, you accept the processing of your data in accordance with that policy.

Article 8 — Limitation of liability
8.1 Site availability
The Seller strives to keep the Site accessible 24 hours a day, 7 days a week, but does not guarantee
uninterrupted availability. The Seller may interrupt access for maintenance or updates.
8.2 Site content
The information on the Site is provided for guidance only. The Seller does not guarantee the accuracy,
completeness or timeliness of that information.
8.3 Limitation of damages
To the extent permitted by law, the Seller’s liability is limited to the amount of the relevant order. The
Seller cannot be held liable for indirect, incidental or consequential damages.
Article 9 — Force majeure
The Seller shall not be held liable for the total or partial non-performance of its obligations where such
non-performance is caused by an event of force majeure, including: natural disasters, wars, strikes, major computer
failures, government decisions and pandemics.
Article 10 — Hyperlinks
The Site may contain links to third-party sites. The Seller exercises no control over these sites and disclaims
any responsibility for their content or practices.
Article 11 — Applicable law and jurisdiction
11.1 Applicable law
These terms are governed by the laws in force in the Province of Québec and the applicable federal laws of
Canada.
11.2 Jurisdiction
In the event of a dispute, and failing an amicable resolution, the courts of the judicial district of Montréal
(Québec) shall have sole jurisdiction.
Article 12 — General provisions
12.1 Entirety
These terms constitute the entire agreement between the Parties and replace any prior agreement.
12.2 Partial nullity
If any provision of these terms is deemed invalid, the remaining provisions remain in force.
12.3 Waiver
Failure to exercise a right provided for herein does not constitute a waiver of that right.
